Introduction

These Terms and Conditions govern the use of the services provided by RODZER LLC (hereinafter referred to as "we," "us," or "our") through our website located at https://www.rodzer.us/ (the "Service"). By accessing or using the Service in any way, you agree to be bound by these Terms and Conditions. If you do not agree with these Terms and Conditions, you may not access or use the Service.

1. Accessing the Service

1.1 To access the Service, users are required to register on our website at https://www.rodzer.us/ after which they may activate a subscription.

1.2 Users may use the Service for either personal or business purposes. If the Service is used for business purposes, you affirm that you are authorized to do so on behalf of your company and that you possess the necessary authority to accept these Terms and Conditions.

1.3 During the registration process, you must provide complete, accurate, and truthful information. Fake user profiles will be disabled.

1.4 If you subscribe to a paid service, we may request your payment card details, which will be securely stored and processed by our payment processing providers, such as Paypal or Stripe. We do not store credit card details.

1.5 Your subscription will be valid for the period specified during the registration process, typically one month, unless stated otherwise. Subscriptions will automatically renew for additional periods of equal duration unless terminated in accordance with these Terms and Conditions.

1.6 The Service is intended for global use, provided that such use is lawful in your jurisdiction. You agree to use the Service in compliance with these Terms and Conditions and all applicable local, national, and international laws and regulations. If the use of the Service is not legal in your jurisdiction, you may not use it.

1.7 You are responsible for arranging the necessary access to the Service.

2. Trial Account

2.1 A trial version of the Service starts automatically upon sign in with google account, which provides access to the software for ten days, with the ability to upload one file at a time. The trial version is exclusively for testing purposes.

2.2 After the seven-day trial period, the user's account will be disabled, and access to the services will be terminated. We reserve the right to extend the free trial period at our discretion.

2.3 Use of the trial version does not obligate the user to purchase the full service at the end of the trial period.

3. Protection of User Accounts and Passwords

3.1 User accounts, user identification codes, passwords, and other security information must be treated as confidential and not disclosed to third parties.

3.2 User accounts are non-transferable, and you may not transfer your account to any other person or entity.

3.3 If you suspect unauthorized access to your account or any security breach, you must immediately notify us at [Insert Support Email] and change your password.

3.4 You are responsible for any actions taken by third parties using your account, whether fraudulent or not, and agree to reimburse us for any losses incurred as a result.

3.5 Inactive accounts, not accessed for more than 12 months, will be classified as unused accounts. We will provide email notifications to these accounts and take actions to delete them from our systems.

4. The Service

4.1 We provide the Service through our website, and your use of the Service is subject to our Privacy Policy, Cookie Policy, and pricing information provided on our website.

4.2 You are granted a non-transferable and non-exclusive license to access the Service in accordance with these Terms and Conditions.

5.1 User payment charges for access to the Service will be notified on the subscription page and via email. Some features may be accessible to users free of charge at our discretion.

5.2 Unless otherwise specified, fees are payable monthly in advance through our payment processors, such as Paypal or Stripe, using the payment card details provided by the user. We do not store payment card details.

5.3 We reserve the right to suspend the provision of the Service in the event that charges are not paid on time.

5.4 Unless indicated otherwise, fees do not include VAT or equivalent taxes, which will be charged where applicable.

5.5 We reserve the right to change fees upon written notice to users, including via email. If you do not wish to continue your subscription under the new fees, you may terminate it at any time.

6. Submitted Content

6.1 Users may send or upload files in the format recommended by us as part of their use of the Service.

6.2 Unless otherwise agreed, we will use the content sent solely for the purpose of providing the Service to the user. You acknowledge that the provision of the Service involves technical access, processing, and transmission of the submitted content, consistent with our Privacy and Data Policy.

6.3 We do not review, verify, or control the content posted by users and assume no responsibility for it, including its accuracy, completeness, or suitability for use in the Service. However, we reserve the right to refuse processing and remove content that, in our opinion, violates these Terms and Conditions or applicable laws or at the reasonable request of third parties.

6.4 You are responsible for ensuring that your use of the Service, including submitted content, complies with these Terms and Conditions.

6.5 You acknowledge sole responsibility for sharing content with authorized individuals and using the Service appropriately in this regard, entirely at your own risk. We have no control over the use of content by collaborators or other third parties granted access.

6.6 If you choose to delete content submitted through the Service, it may still exist in backup copies accessible to us, and we shall have no responsibility for the deletion or retention of such content.

7. Intellectual Property Rights

7.1 While users retain ownership of copyrights and other intellectual property rights pertaining to the submitted content, users agree and confirm the following:

7.2 Users grant us (or agree to grant us) a license to use the submitted content in accordance with these Terms and Conditions solely for the purpose of providing the Service.

7.3 Users confirm that they are duly authorized to submit content and that such use will not infringe on third-party rights, including intellectual property rights or rights related to confidential information. Users agree to indemnify us for any losses or damages incurred due to a violation of this provision.

7.4 Users agree that we may perform data analysis on submitted content to improve the Service.

7.5 Users agree that submitted content may become part of a database, and we will own the rights to that database.

7.6 Except for submitted content, we own all intellectual property rights related to the Service, including software and content used in its provision. All rights are reserved, and users do not hold any rights to the Service other than the right to use it in accordance with these Terms and Conditions.

7.7 Users are not obligated to provide feedback, improvements, or suggestions (collectively, "Feedback") that may enhance the Service. However, if provided, users acknowledge that we are free to use such Feedback, and we own all intellectual property rights, including any incorporated into the Service.

8. Limitation of Liability

8.1 We do not guarantee continuous availability or uninterrupted access to the Service. Access to the Service is provided temporarily, and we may suspend, withdraw, or terminate all or part of the Service without notice. We shall not be liable if, for any reason, the Service is unavailable at any time or for any duration.

8.2 In connection with the use of the Service:

8.2.2 Our liability is limited to charges paid for the Service in the 12-month period preceding the date of the complaint.

9. Prohibited Uses of the Service

9.1 The Service may only be used for lawful purposes. Users agree not to use the Service:

9.1.1 In any way that violates applicable local, national, or international laws or regulations or for any illegal or fraudulent purpose or effect.

9.1.2 To modify, copy, disclose, distribute, or resell any part of the Service, including content submitted by other users and any software used in providing the Service. Users shall not use crawlers, robots, or other automated means to access the content available through the Service.

9.1.3 To impersonate other users.

9.1.4 To access, penetrate, interfere with, damage, or interrupt (or attempt to do any of the same):

(i) the accounts of other users;

(ii) any part of the Service or its security measures;

(iii) any equipment or network on which the Service is stored; or

(iv) the Service or any software used in providing the Service.

9.2 Users also agree to comply with the content standards outlined below in relation to all submitted content and interactive services associated with the Service:

9.2.1 Content must not contain defamatory or inaccurate material about any person.

9.2.2 Content must not include obscene, offensive, hateful, or inflammatory material or material that may harass, disturb, embarrass, alarm, or annoy any other person.

9.2.3 Content must not promote indecent or sexually explicit material or violence.

9.2.4 Content must not promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

9.2.5 Content must not violate copyrights, database rights, trademarks, or other intellectual property rights of any other person.

9.2.6 Content must not contain photographs, images, or other representations of another person without their authorization (or, in the case of a minor, the legal guardian's authorization).

9.2.7 Content must not impersonate any person or misrepresent your identity or affiliation with any person.

9.2.8 Content must not be in violation of any legal obligations to third parties, such as contractual obligations or duties of trust.

9.2.9 Content must not support, promote, assist, or enable illegal activities or intend to defraud, deceive, or mislead other users.

9.2.10 Content must not disclose or otherwise reveal another person's personal information without their prior authorization or collect or solicit another person's personal information for commercial or illegal purposes.

10. Termination of User Access

10.1 Right to Withdraw: Registered users have the right to request the deletion of their data from our systems at any time. To do so, you may fill out the cancellation form provided at the end of these Terms and Conditions and send it to [Insert Support Email]. We will refund payments received from you in the last month if the request is submitted within 14 days after the last payment.

10.2 All users can terminate their registration or other access as users at any time by notifying us using the relevant section of the Service. The subscription and any other right to receive the service will terminate at the end of the last subscription period. If you terminate your subscription without cause, you will not receive a refund of prepaid charges for the remaining subscription period.

10.3 In cases of malicious or other violations of these Terms and Conditions, we reserve the right to temporarily suspend an account until the issue is resolved with the user. This is done for security reasons to prevent vulnerability during any violation. The actions described are not exhaustive, and we may take other actions we deem reasonably appropriate.

10.4 Users acknowledge that submitted content will be retained for one month after the subscription cancellation date. After that date, the content will no longer be recoverable.

11. Changes to these Terms and Conditions and the Service

11.1 You will be asked to read and accept these Terms and Conditions when you first access the Service.

11.2 We may update the Service and modify its content and functionality at any time. If you do not wish to continue using the Service after such updates, you may terminate your subscription in accordance with clause 10.2 above.

11.3 The "Rodzer" trademark is a registered trademark of RODZER LLC. All rights are reserved.
